Terms of Service

1. Who we are

The service is provided by ClipItX, a sole proprietorship operated by Janaki Kalyani Bandaru, India ("ClipItX", "we", "us", "our"). You can reach us at [email protected]. "You" means the person or entity that holds the account, or — where an account is held by a parent or guardian for a minor (see Section 3) — the parent or guardian.

2. The service and your licence to use it

ClipItX is an AI creator-automation platform. It clips highlight moments from videos you upload or link, generates AI faceless, character and text-message shorts from prompts and scripts, offers consent-gated voice cloning, adds captions, voiceover and b-roll, and — if you connect your own accounts — publishes finished videos to YouTube, TikTok and Instagram on your behalf. Features may change as we improve the product.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the service to create and publish your own content. You may not copy, modify, resell, sublicense, reverse-engineer or create derivative works of the service or any part of it, except where the law says we cannot stop you.

3. Your account

• You must provide accurate information and keep your credentials secure.
• You must be at least 13 years old (or the minimum digital-consent age in your country).
• If you are under 18, a parent or legal guardian must open and hold the account as the account holder, accept these Terms, and supervise your use of the service. The parent or guardian is responsible for the account, including all purchases.
• You are responsible for activity on your account.

4. Your content and intellectual property

• You keep all rights to content you upload and to the clips and videos you create with ClipItX. We claim no ownership of your content or your outputs.
• You grant us a limited, worldwide, royalty-free licence to host, store, transcode, process and transmit your content solely to provide the service to you (including sending it to the AI and infrastructure providers listed in our Privacy Policy). This licence ends when you delete the content or your account, except where short-term backups or legal obligations require brief further retention.
• You warrant that you own, or hold all necessary rights, licences and permissions to, every piece of footage, audio, image, script and other material you upload to ClipItX or link for processing, and that our processing of it as directed by you does not infringe anyone's rights.
• You agree to indemnify ClipItX — that is, to cover our losses, damages and reasonable legal costs — against any third-party claim that content you uploaded, linked or published through the service infringes intellectual-property or other rights.
• You are responsible for what you publish to connected platforms (e.g. YouTube, TikTok, Instagram) and for complying with their terms.
• ClipItX uses YouTube API Services. By connecting a YouTube account and using YouTube features, you agree to be bound by the YouTube Terms of Service. Google's handling of your data is described in the Google Privacy Policy.

5. AI-generated output

• AI outputs (clips, shorts, scripts, captions, voiceovers, thumbnails and similar) are generated at your direction from your inputs. You decide what to generate and what to publish.
• You are responsible for reviewing outputs before use and for how you use them, including complying with any platform obligations to label or disclose AI-generated or synthetic content (for example YouTube's, TikTok's and Instagram's disclosure rules).
• AI output may contain errors, and we make no guarantee that outputs are accurate, complete or unique. Similar or identical outputs may be generated for other users from similar inputs.

6. AI Clipping output

When you request a number of clips from AI Clipping, that number is a target, not a guarantee. Our AI only cuts moments it judges strong enough to stand alone as short-form clips, and some videos simply contain fewer clip-worthy segments than the number requested. In that case we deliver every clip that was found, and ClipItX has no obligation to generate additional clips to reach the exact requested count. By starting an AI Clipping job you agree that the final number of clips delivered may be lower than the number requested.

7. Voice cloning

Voice cloning is consent-gated. By using any voice-cloning feature you agree that:

• You will only clone your own voice, or a voice for which you hold the express written permission of the person whose voice it is. Keep that permission — we may ask you to produce it.
• You will not use a cloned voice to impersonate any person (living or dead, private individual or public figure), to mislead listeners about who is speaking, or to create content the voice's owner has not agreed to.
• If we receive a complaint about a cloned voice, we may immediately suspend the voice, the feature, or your account while we investigate, and delete voice models created without consent.

8. Acceptable use

• No content that is illegal, harmful, hateful or deceptive, and no content that infringes copyright, trademark, privacy or publicity rights.
• No impersonation of any person or organisation, and no deceptive synthetic media — do not present AI-generated audio or video of real people or real events as genuine.
• No scraping, bulk downloading, or automated harvesting of the service or of other users' content.
• When posting through connected accounts, you must comply with the terms and community guidelines of YouTube, TikTok and Instagram. Suspensions or penalties those platforms impose on your accounts are your responsibility.
• No attempts to break, overload, reverse-engineer or abuse the service, evade plan limits, or access other users' data.
• No reselling of the service without our written consent.

9. Plans, tokens and billing

• Merchant of Record. Payments are processed by Kelviq, our Merchant of Record (a reseller operating on Stripe). When you subscribe, your purchase is made from Kelviq, which resells access to ClipItX; Kelviq's checkout terms apply to the payment transaction, and Kelviq's name may appear on your statement.
• Auto-renewal. Subscriptions renew automatically — monthly plans each month, yearly plans each year — until you cancel. Yearly plans are priced at 10× the monthly price (two months free).
• Tokens. Paid plans grant a token allowance each billing period. Tokens are usage credits consumed by generations, renders and edits as shown in the app; they have no cash value, are non-transferable, and unused tokens expire at the end of the billing period.
• Cancellation. You can cancel any time from your account settings; access and remaining tokens continue until the end of the period you have paid for, then the subscription stops. No further charges are made after cancellation.
• Refunds. Refunds are governed by our Refund & Cancellation Policy, including a 7-day money-back guarantee on your first subscription purchase.
• Price changes. If we change prices, we will give you notice before the change applies to your next renewal.

10. Copyright complaints

We respond to copyright infringement notices as described in our Copyright & DMCA Policy. We terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

11. Third-party services

ClipItX integrates third-party services (e.g. Google/YouTube, TikTok, Instagram, AI processing providers, and payment processing through Kelviq). Their terms apply to your use of those services. Our use of Google user data is described in our Privacy Policy.

12. Termination

You may stop using ClipItX and delete your account at any time. We may suspend or terminate accounts that violate these Terms — including the voice-cloning, acceptable-use and copyright rules above — and may remove content that violates them. On termination your stored content is deleted per our Privacy Policy. Sections that by their nature should survive (including content warranties, indemnity, disclaimers, liability limits and governing law) survive termination.

13. Disclaimers and liability

• The service is provided "as is" without warranties of any kind. AI output may contain errors — review clips before publishing.
• We are not liable for indirect, incidental or consequential losses, or for lost profits, revenue or data, to the extent the law allows such limits.
• To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the service is limited to the amount you paid us in the 12 months before the claim.
• Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the service is subject to the exclusive jurisdiction of the competent courts at the proprietor's principal place of business in India.

15. Changes to these Terms

We may update these Terms as the product and the law evolve. Material changes will be announced in the app or by email before they take effect, and the "Last updated" date above will change. Continued use after changes take effect means acceptance.
