1. Who We Are & Agreement to Terms

ClipItX is an AI-powered content creation platform operated by ClipItX, a sole proprietorship operated by Janaki Kalyani Bandaru, based in India ("ClipItX", "we", "us", or "our"). These Terms of Service ("Terms") form a legal agreement between you and ClipItX and govern your use of the ClipItX website, dashboard, and services (together, the "Service"). By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility & Your Account

You must be at least 13 years old (or the minimum digital-consent age in your country) to use ClipItX. If you are under 18 (or the age of majority where you live), a parent or legal guardian must open and hold the account, accept these Terms, supervise your use, and is responsible for all purchases. You agree to provide accurate information when registering and to keep your credentials confidential. You are responsible for all activity under your account and must notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. Your Content: You Keep Ownership

You retain full ownership of the videos, audio, images, scripts, and other material you upload to ClipItX, and of the clips, shorts, and other output you create with the Service ("Your Content"). ClipItX claims no ownership over Your Content. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display Your Content solely to operate, provide, and improve the Service, for example, transcribing your video so we can clip it, or storing your renders so you can download and publish them. This license ends when Your Content is deleted from the Service, subject to the retention window described in our Privacy Policy. You may use content you create with ClipItX for personal or commercial purposes, subject to the rights you hold in the source material and the license terms of any third-party assets (such as stock footage or music) included in it.

4. Rights Warranty & Indemnity

You represent and warrant that you own, or have obtained all licenses, permissions, and consents necessary for, every piece of content you upload, link, clip, generate from, or publish through the Service, including any third-party footage, music, voices, and likenesses appearing in it. Uploading or linking content you do not have rights to is a violation of these Terms. You agree to indemnify, defend, and hold harmless ClipItX and its operator from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of Your Content, your breach of these Terms, or your violation of any law or third-party right.

Pasting a link to a video (for example a YouTube video) does not give you any rights in it. Only clip, remix, or publish videos you own, videos whose owner has given you permission, or uses that are clearly allowed by law (such as fair use or fair dealing). You are responsible for that judgment. When you connect or use YouTube features you also agree to the YouTube Terms of Service, and Google's handling of your data is described in the Google Privacy Policy.

5. AI-Generated Content

ClipItX uses artificial intelligence to select clips, write scripts, generate narration, and assemble videos. AI output can be inaccurate, incomplete, or unsuitable for your purposes. You are responsible for reviewing all AI-generated output before publishing it and for how you use it, including compliance with the rules of any platform you publish to and all applicable laws (including disclosure obligations for AI-generated or synthetic media where they apply). ClipItX does not guarantee that AI output is free of third-party rights, factually correct, or fit for any particular purpose, and similar output may be generated for other users. When you request a number of clips from AI Clipping, that number is a target, not a guarantee: we deliver every clip our AI judges strong enough, which may be fewer than requested.

ClipItX is designed privacy-first. Your raw footage is not used to train AI models unless you opt in; our own clip-selection models may learn from derived signals (transcripts, features and post performance) as described in our Privacy Policy. Some AI models and features are provided through external cloud providers; when you use them, the content needed for that request is processed by those providers on our behalf, as described in our Privacy Policy.

6. Voice Cloning & Likeness Consent

Voice cloning features may only be used with your own voice or with the documented, informed consent of the person whose voice is cloned. You must not use ClipItX to clone, imitate, or impersonate the voice or likeness of any person without their consent, including public figures. We may require proof of consent, and we may disable voice models and terminate accounts used for impersonation. The same rule applies to any feature involving a real person's face, image, or identity, including characters, AI influencers, and reference photos: upload only your own likeness or one you have documented permission to use. AI influencers and characters must not be presented as real people, and you must follow each platform's rules for labeling synthetic or AI-generated content.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law
Upload, clip, or publish content that infringes copyright, trademark, privacy, or publicity rights
Create or distribute content that is defamatory, deceptive, hateful, sexually exploitative, or harassing
Impersonate any person or misrepresent AI-generated media as authentic recordings of real events
Create sexual or nude content of any real, identifiable person, or any sexual content involving minors or anyone who appears to be a minor
Create deepfakes or synthetic media intended to deceive, harass, defraud, or interfere with elections
Attempt to gain unauthorized access to our systems, scrape the Service, or interfere with its operation
Resell, sublicense, or provide the Service to third parties as your own service without our written agreement
Circumvent usage limits, token accounting, or content-safety measures

8. Plans, Billing & Tokens

Paid plans are billed as subscriptions through Kelviq, our Merchant of Record, which processes payment, handles applicable taxes, and appears on your statement. Subscriptions renew automatically at the end of each billing period (monthly or yearly) until you cancel. You can cancel at any time from your Billing page; after cancellation you keep access until the end of the period already paid for. Plans include a monthly allowance of tokens that are consumed when you generate clips, videos, voiceovers, and other output; token costs are shown in the app before you run a job. Some image tools in Studio run on capacity we start up when you need it; when nothing has been generated for a few minutes, the price shown for your next job includes a one-off start-up fee in tokens to get that capacity ready again (never on an influencer's first set of keyframes). It is already included in the price shown before you run the job, and it is refunded if the job fails. Tokens have no cash value, are non-transferable, and unused tokens expire at the end of each billing period. Yearly plans are billed once per year. We may change prices or plan features with reasonable advance notice; changes apply from your next renewal.

9. Refunds

We offer a 7-day money-back guarantee on your first subscription purchase, provided you have used fewer than 50 tokens. Renewals, upgrades, and subsequent purchases are generally non-refundable except where required by law. The full policy, including how to request a refund, is published at clipitx.ai/refunds.

10. Copyright Complaints (DMCA)

We respect intellectual property rights and respond to valid copyright complaints, including notices under the US Digital Millennium Copyright Act (DMCA) and equivalent laws. If you believe content on ClipItX infringes your copyright, please follow the notice-and-takedown process described at clipitx.ai/copyright. We may remove allegedly infringing content and terminate the accounts of repeat infringers.

11. Service Changes, Suspension & Termination

We are continuously improving ClipItX and may add, change, or discontinue features at any time. We may suspend or terminate your access if you materially breach these Terms, create legal risk for us, or fail to pay amounts due. You may stop using the Service and delete your account at any time from Settings. Sections that by their nature should survive termination (including Sections 4, 5, 12, 13, and 14) survive.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that jobs will always complete, or that AI output will meet your expectations.

13. Limitation of Liability

To the fullest extent permitted by law, ClipItX and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total aggregate liability for all claims relating to the Service is limited to the amount you paid to ClipItX in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to any mandatory consumer protections in your country of residence, the courts of India have jurisdiction over disputes arising out of these Terms or the Service. Before filing a claim, please contact us; most issues can be resolved quickly through support.

15. Changes to These Terms

We may update these Terms from time to time. For material changes we will give reasonable notice (for example by email or an in-app notice) before the new Terms take effect. The "Last updated" date above always reflects the current version. Continuing to use the Service after changes take effect means you accept the updated Terms.
